Terms of Use:

These terms of use outline the rules and regulations for the use of Acadental, Inc.'s Software.

By accessing our Software, we assume you accept these Terms of Use. Do not continue to use the Software if you do not accept all of the Terms of Use.

Definitions:

Software - includes Teo and OneScreen applications and all versions available for use. Versions may include, but not be limited to, applications made for PC, Mac, Mobile, VR devices, AR devices and XR devices.

User Content - includes, but is not limited to, a user’s comments, written, verbal and visual interaction and chat with other users, uploaded images, videos, photos, posts, user generated content, user created files and user’s avatar.

Fees and Payment:

We accept the following forms of payment:

• • American Express
• • Discover
• • Google Pay
• • Apple Pay

You may be required to purchase or pay a fee to access the Software or additional content for use in the Software. You agree to provide current, complete, and accurate purchase and account information for all purchases made for the Software. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. We bill through you through an online billing account for purchases made for the Software. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be made in U.S. dollars.

You agree to pay all charges and fees at the prices in effect for your purchases, and you authorize us to charge your chosen payment provide for such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation. During an active subscription, your recurring charges will occur on the same day of the month you first subscribed on.

We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed for the Software.

We reserve the right to modify recurring pricing and pricing models at any time, without prior notice.

Cancellation:

All purchases are non-refundable. You can cancel your subscription at any time by logging into your account, clicking My Account and then Subscriptions. Click Edit on your active subscription to make changes to your credit card or to cancel. Your cancellation will take effect at the end of your current paid term. After cancellation, you may still have active days remaining before your current subscription ends. There are no refunds for any unused portion of a paid subscription. License:

Unless otherwise stated, Acadental, Inc. and/or its licensors own the intellectual property rights for all material on Software. All intellectual property rights are reserved and is subjected to restrictions set in these Terms of Use.

You must not:

• • Copy or republish material from the Software
• • Sell, rent, or sub-license material from the Software
• • Reproduce, duplicate or copy material from the Software
• • Redistribute content from the Software

This Agreement shall begin on August 1st, 2022.

Parts of this Software offers users an opportunity to post and exchange opinions and information in certain areas of the Software. Acadental, Inc. does not filter, edit, publish or review User Content before their presence on the Software. User Content does not reflect the views and opinions of Acadental, Inc., its agents, and/or affiliates. User Content reflects the views and opinions of the person who posts their views and opinions.

Acadental, Inc. reserves the right to monitor all User Content and remove any User Content from users that can be considered inappropriate, offensive, or causes breach of these Terms of Use.

Acadental, Inc. reserves the right to immediately remove users who violate these terms, without refund of prepaid services.

You warrant and represent that:

• • You are entitled to post the User Content on our Software and have all necessary licenses and consents to do so;
• • The User Content does not invade any intellectual property right, including without limitation copyright, patent, or trademark of any third party;
• • The User Content is not false, inaccurate or misleading
• • The User Content does not contain any defamatory, libelous, offensive, indecent, or otherwise unlawful material, which is an invasion of privacy.
• • The User Content will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.
• • The User Content does not include any offensive comments that are connected to race, national origin, gender, sexual preference or physical handicap

You hereby grant Acadental, Inc. a non-exclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of your User Content in any and all forms, formats, or media.

Content Liability:

We shall not be held responsible for any User Content that appears on our Software. You agree to protect and defend us against all claims that are raised on our Software. No User Content should appear on our Software that may be interpreted as libelous, obscene, or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third-party rights.

Reservation of Rights:

We reserve the right to request that you remove any User Content from our Software. You agree to immediately remove any User Content to our Software upon request. We also reserve the right to amend these Terms of Use and its content policy at any time. By continuously using our Software, you agree to be bound to and follow these Terms of Use.

Removal of User Content from our Software:

If you find any User Content on our Software that is offensive for any reason, you are free to contact and inform us at any time. We will consider requests to remove User Content, but we are not obligated to or so or to respond to you directly.

We do not ensure that the information on this Software is correct. We do not warrant its completeness or accuracy, nor do we promise to ensure that the Software remains available or that the material on the Software is kept up to date.

Disclaimer:

To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our Software and the use of this Software. Nothing in this disclaimer will:

• • limit or exclude our or your liability for death or personal injury;
• • limit or exclude our or your liability for fraud or fraudulent misrepresentation;
• • limit any of our or your liabilities in any way that is not permitted under applicable law; or
• • exclude any of our or your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort, and for breach of statutory duty.

We will not be liable for any loss or damage of any nature.

Term and Termination:

These Terms of Use shall remain in full force and effect while you use the Software. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SOFTWARE (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SOFTWARE OR DELETE YOUR ACCOUNT AND ANY USER CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of a third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

Modifications and Interruptions:

We reserve the right to change, modify, or remove the contents of the Software at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Software. We also reserve the right to modify or discontinue all or part of the Software without any notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Software.

We cannot guarantee the Software will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Software, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Software at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Software during any downtime or discontinuance of the Software. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Software or to supply any corrections, updates, or releases in connection therewith.

Governing Law:

These Terms of Use and your use of the Software are governed and construed in accordance of the State of Kansas applicable to agreements made and to be entirely performed within the State of Kansas, without regard to its conflict of law principles.
